1. Agreement Scope
These Terms of Service govern access to Stark Assistant, supporting services, and related APIs provided by Stark Industries FZ-LLC ("Stark", "we", "us"). By activating Stark Assistant, you confirm that you have authority to bind the subscribing entity to this agreement.
2. Account & Subscriptions
- Services are provisioned on a subscription basis; billing commences upon provisioning.
- Named users must be authorised employees or contractors. Shared credentials are prohibited.
- Usage is subject to fair-use limits documented in Stark technical guides; sustained overages may require commercial upgrades.
3. Customer Responsibilities
- Maintain the security of administrator credentials and enforce MFA.
- Supply accurate billing information and notify Stark within 30 days of disputes.
- Obtain end-user consent where applicable and maintain compliance with applicable regulations.
4. Data Processing & Security
Stark processes Customer Data exclusively to deliver the services. Infrastructure runs on Google Cloud Platform with enterprise-grade controls including VPC isolation, customer-managed encryption key (CMEK) support, and Cloud Armor WAF protection.
5. Confidentiality
Both parties agree to safeguard confidential information with industry-standard care. Stark personnel access customer environments strictly under role-based access control and logged approval workflows.
6. Term, Termination & Suspension
- Initial term and renewal cadence follow the ordering document.
- Either party may terminate for cause upon written notice if the other party fails to cure a material breach within 30 days.
- Stark may suspend accounts for security events, non-payment, or material violations.
7. Service Commitments
- Platform uptime target: 99.9% monthly SLA.
- Critical support available 24/7 via dedicated incident desk.
- Credits outlined in the Service Level Addendum apply to verified incidents.
8. Liability
Stark's aggregate liability is capped at twelve (12) months of fees paid preceding the claim. Neither party is liable for consequential or indirect damages.
9. Governing Law
The agreement is governed by the laws of the Dubai International Financial Centre (DIFC). Disputes will be resolved by the DIFC Courts.
